By accessing or using the services provided by DEEPRAPID.AI ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.
DEEPRAPID.AI provides engineering services including but not limited to:
Payment Collection: We collect 50% of the total project fee upfront via USDC, USDT, or credit card. The remaining 50% is invoiced when you approve the deploy preview or upon project completion, as specified in your service agreement.
Payment Methods: We accept payments in USDC or USDT on all major chains (Ethereum, Base, Polygon, Monad, Blast, and others), as well as credit card payments through our payment processor.
Currency: All prices are quoted in USD. Cryptocurrency payments will be converted at the time of payment based on current market rates.
Late Payments: Payments not received within 14 days of invoice date may result in project delays or suspension of services until payment is received.
No Refunds on Completed Work: Once services have been delivered and approved, no refunds will be issued. This includes deployed smart contracts, completed code, delivered reports, and other deliverables.
Cancellation Before Work Begins: If you cancel a project before work has commenced, you may be eligible for a full refund of the upfront payment, minus any processing fees.
Cancellation After Work Begins: If you cancel a project after work has begun, the upfront payment (50%) is non-refundable. You will be invoiced for work completed up to the cancellation date, not to exceed the remaining 50% balance.
Disputes: If you are dissatisfied with our services, please contact us within 7 days of delivery. We will work with you to resolve any issues. Refunds are only considered in cases of material breach of contract on our part.
All projects are scoped and priced based on the initial requirements provided. Changes to project scope may result in additional fees and timeline adjustments.
We will notify you in writing of any scope changes and obtain approval before proceeding with additional work.
Client Ownership: Upon full payment, you own all deliverables created specifically for your project, including code, smart contracts, documentation, and reports.
Our Rights: We retain the right to use anonymized code patterns, methodologies, and general knowledge gained during the project for other client work, unless otherwise specified in a written agreement.
Third-Party Components: Deliverables may include open-source or third-party components subject to their respective licenses. You are responsible for compliance with these licenses.
No Warranties: Our services are provided "as is" without warranties of any kind, express or implied. We do not guarantee that services will be error-free or uninterrupted.
Smart Contract Security: While we follow best practices and may provide audit services, we cannot guarantee that smart contracts are completely secure or free from vulnerabilities. You are responsible for conducting your own security audits and testing.
Limitation of Liability: Our liability is limited to the total amount paid for the specific service in question. We are not liable for indirect, incidental, or consequential damages.
We maintain strict confidentiality regarding your project details, code, business information, and any proprietary information shared with us. We will not disclose your information to third parties without your consent, except as required by law.
Either party may terminate a service agreement with 14 days written notice. Upon termination:
These Terms of Service are governed by the laws of the State of Texas, United States. Any disputes will be resolved in the courts of Dallas County, Texas.
We reserve the right to modify these terms at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the new terms.
